What are unlisted shares?

Unlisted shares are equity shares of private or public companies not traded on formal stock exchanges like NSE or BSE.

What are pre-IPO shares?

Pre-IPO shares are unlisted shares of a company acquired before a possible initial public offering. They can offer early access, but the timing of listing, valuation and liquidity are not guaranteed.

What types of risks are associated with investment in unlisted shares?

Common risks include liquidity risk, valuation risk, governance and disclosure risk, business execution risk, regulatory or documentation risk, and exit timing risk. Returns are not assured and price discovery can be less efficient than in listed markets.

Are the shares of private companies in DEMAT form?

Many are. Under current MCA dematerialisation rules, unlisted public companies and many private companies other than small companies must issue and facilitate holdings in demat form. Some legacy holdings may still exist in physical form in limited cases.

Can I transfer physical shares of unlisted companies?

Usually, transfer is expected through demat. For unlisted public companies, holders intending to transfer on or after 2 October 2018 must first dematerialise. For many covered private companies, dematerialisation is also required before transfer once the applicable rule takes effect.

Can an unlisted company give dividends?

Yes. If the company has distributable profits and follows the Companies Act, its articles, and internal approval process, it can declare dividends even if it is not listed.

What is the exit timeframe for investment in unlisted shares?

There is no fixed exit timeline. Exit depends on buyer availability, company milestones, private secondary transactions, buybacks, strategic deals, or a future listing. Investors should usually be prepared for a longer holding period than listed-market investments.

What are the tax implications on unlisted shares?

As per current Indian tax rules, gains on sale are generally taxed under capital gains. For transfers on or after 23 July 2024, unlisted shares held for more than 24 months generally qualify as long-term capital assets and long-term gains are generally taxed at 12.5 percent; shorter holdings are generally taxed as short-term gains at applicable slab rates. Tax treatment can vary by residency, transaction structure and facts of the case.

What is the ITR form for unlisted shares? Do I have to declare them in ITR?

If you are an individual or HUF without business or professional income, the relevant return is usually ITR-2. If you have business or professional income, it is usually ITR-3. Unlisted equity shares held at any time during the year generally need to be disclosed in the return, and ITR-1 is typically not meant for such cases.
